(1) Description of Sweepstakes – Chiquita Brands International, Inc. (the "Sponsor") is offering the Explore the Lost City Sweepstakes (the "Promotion") and will award prizes via a random selection from eligible entrants. The Promotion begins at 12:00:01 AM Eastern Time ("ET") on September 1, 2010 and ends at 11:59:59 PM ET on December 31, 2010, ("Promotion Period"). The Promotion is intended for participation only in the United States and shall be construed according to, and governed exclusively by United States law. Do not participate in the Promotion if you are not physically located in the United States at time of entry. By participating in the Promotion, each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of the Sponsor, which shall be final and binding in all respects. By participating in the Promotion, participants agree to release, discharge and hold harmless Promotion Entities (defined below), their respective parents, affiliates, subsidiaries, divisions, retailers, agencies and their respective officers, directors, employees and agents, from any and all damages whether direct or indirect, which may be due to or arise out of participation in the Promotion or any portion thereof, or the acceptance, use/misuse or possession of prizes.
(2) Eligibility - The Promotion is open only to legal residents of the fifty (50) United States residing in the fifty (50) United States and the District of Columbia (excluding Puerto Rico and all other territories) who are 13 years of age or older at the time of Promotion registration. Employees, officers and directors of Chiquita Brands International, Inc., NAMCO BANDAI Games America Inc., Mia Brown & Co., LLC dba MBC Promotions, their respective parents, affiliates, subsidiaries, divisions, advertising, promotional, fulfillment and marketing agencies, (collectively "Promotion Entities") their immediate families (parent, child, sibling & spouse) and persons living in the same households as such individuals (whether related or not), are not eligible to participate in the Promotion. Void in Puerto Rico, all other territories and where prohibited by law, rule or regulation. All federal, state and local laws and regulations apply.
(3) How to Enter – Visit www.ChiquitaBananas.com™ during the Promotion Period and complete the registration form with your first/last name, street address, city, state, ZIP code, age, email address and (optional) phone number, (your "initial entry"). Your phone number will be used solely for the purposes of contact in the event you are selected as a potential winner. You have the option to elect to register for the Chiquita® Banana recipe email list. Registering for the recipe email list is not a requirement for entry nor does it increase your chances of winning. You can also request information about NAMCO BANDAI Games America Inc. and "Active Life" games. Your information request is not a requirement for entry nor does it increase your chances of winning. Once entered, you can provide the name and email address for up to ten (10) individuals to whom you would like to refer the Promotion. Each person for whom you provide an email address will receive an email providing the details of the Promotion and inviting him/her to enter. (Referral email addresses are used solely for the purpose of sending the "invitation email" and will not be retained or used for any other purpose.) You will receive one (1) additional entry for each valid email address you provide for referring the Promotion ("referral entry"). There is a limit of one (1) initial entry and ten (10) referral entries per person for a total of up to eleven (11) total entries per person and/or per email address.
Entries will be deemed made by the authorized account holder of the email address submitted at time of entry. The authorized account holder is defined as the natural person who is assigned an email address by an Internet access provider, online service provider or other organization that is responsible for assigning email addresses or the domain associated with the submitted email address. A potential winner may be required to provide Sponsor with satisfactory proof that he/she is the authorized account holder of the email address associated with the potentially winning entry. Entries generated by a script, macro or other automated means will be disqualified. Multiple entrants are not permitted to share the same email address. Any attempt by any entrant to obtain more than the stated number of entries by using multiple/different/duplicitous email addresses, the use of a sweepstakes service, the use of multiple identities, registrations and logins, or any other methods will void that entrant's entries and that entrant may be disqualified. Entries that are incomplete, contain irregular or invalid information, or are corrupted are void and will not be accepted. Information collected from an entrant is used only for the purpose of the prize drawing and to notify winners, and will not be re-used, sold or shared in any manner by Promotion Entities unless entrant has elected to receive additional information and promotional material from the Sponsor. By entering the Promotion, you agree to all of the terms and conditions of Sponsor’s Privacy Policy, which is available at http://www.chiquitabananas.com/privacy-policy.aspx.
(4) Prizes Available
Grand Prize: One (1) Trip for four (4) people to the Bahamas ("Bahamas Trip Prize"), Approximate Retail Value ("ARV") $8,094. Bahamas Trip Prize includes round trip coach airfare for four (4) people from the major U.S. metropolitan airport nearest the winner’s residence (as determined by the Sponsor) to and from Grand Bahamas Island, four (4) consecutive nights standard hotel accommodation (based on quad-occupancy) at the Atlantis Paradise Island Bahamas Resort (i.e., one (1) room for four (4) nights), one (1) $500 travel allowance, one (1) "adventure activity" for four (4) people (such as visiting an exhibition or participating in a water sport), one (1) day "Atlantis gourmet dining plan" for four (4) people, one (1) Wii™ game console, one (1) copy of the "Active Life Explorer" game, four (4) Chiquita® Sports totes, four (4) Chiquita® Sports Bottles, four (4) Chiquita® T-shirts and four (4) Chiquita® Banana Hangers. The Bahamas Trip Prize must be completed within one (1) year of prize award; travel must be scheduled a minimum of four (4) weeks in advance of travel and blackout dates and travel restrictions apply. If fewer than four (4) people take the trip there is no reimbursement for any unused portion of the Bahamas Trip Prize. Bahamas Trip Prize winner and Travel Companions must travel on the same itinerary and participate in the same "adventure activity". Sponsor has no obligation for compensation or reimbursement of any kind if the Bahamas Trip Prize winner and his/her Travel Companion(s) have accepted the Bahamas Trip Prize and cannot take or complete the Bahamas Trip Prize for any reason. Bahamas Trip Prize winner and his/her Traveling Companions are responsible for securing passports and any documentation needed for travel to the Bahamas.
First Prize: Five (5) Gift Basket ("Gift Basket Prize"), ARV $366. Gift Basket Prize includes one (1) Wii™ game console, one (1) copy of the "Active Life Explorer™" game, one (1) Chiquita® Sports tote, one (1) Chiquita® Sports Bottle, one (1) Chiquita® T-shirt and one (1) Chiquita® Banana Hanger.
Second Prize: Twenty-five (25) "Active Life Explorer™" games (on Wii™ Platform), ARV $59.99.
There are a total of thirty-one (31) prizes with a total overall ARV of $11,424. The odds of winning depend upon the total number of eligible entries received. Limit one (1) prize per person.
No prize recipient shall be permitted to (a) replace his/her designated prize or prize component with another prize or prize component, (including but not limited to hotel accommodations and activity/entertainment features), (b) transfer or assign his/her designated prize to another person, or (c) redeem his/her prize for cash. Promotion entities reserve the right, exercisable at any time in their sole discretion, to substitute a prize of equal or greater value. Prizes are awarded “as is” with no warranty or guarantee, either express or implied by the Sponsor. Any costs associated with prize acceptance and use not specified herein as being provided, is the winner’s sole responsibility. Sponsor undertakes no responsibility to award prizes unclaimed by recipients. All federal, state, local, and other taxes resulting from a winner’s acceptance of a prize are the sole responsibility of the applicable winner.
(5) Prize Awarding - Winners will be selected in a random drawing from all eligible entries conducted on or about January 10, 2011 and will be contacted by phone (if provided) and/or email within five (5) business days of the drawing, (“Prize Notification”). Potential Bahamas Trip Prize winner will be required to complete an Affidavit of Eligibility and a Liability/Publicity Release (“Affidavit”), (unless prohibited by law). The Affidavit must be returned within ten (10) days of Sponsor’s first provision of these documents. Potential Bahamas Trip Prize winner will also be required to send a copy of his/her passport, driver’s license, birth certificate or other appropriate documentation (acceptable to Sponsor) as proof of age and residency. Non-compliance with any of these requirements will result in disqualification, in which case an alternate winner will be chosen. Travel Companions will be required to complete and return a Liability/Publicity Release and provide proof of age prior to travel. If a Travel Companion is a minor in his/her state of residence, his/her parent or legal guardian (unless the parent or legal guardian is the Bahamas Trip Prize winner) will be required to provide written permission to take the Bahamas Trip Prize as well as complete the Liability/Publicity Release/Proof of Age document on behalf of the minor. If the Bahamas Trip Prize winner is a minor in his/her state of residence, his/her parent or legal guardian must accept the prize on his/her behalf and accompany him/her on the trip as one of the Travel Companions. All potential First and Second Prize winners will be asked to confirm acceptance of the prize and provide a shipping address for the prize. Failure to respond to Sponsor’s first Prize Notification within five (5) days will result in forfeiture of the prize and selection of an alternate winner. Non-compliance with any of these requirements will result in disqualification, in which case an alternate winner will be chosen. If the winner of any prize is a minor in his/her jurisdiction, the prize will be awarded to his/her parent or legal guardian. Return of Prize Notification and/or the Affidavit as undeliverable will result in disqualification and an alternate winner will be selected. Acceptance of any prize constitutes permission for Sponsor to use winner's name and likeness solely for advertising and promotional purposes as Sponsor so determines without notice or further compensation, except where prohibited by law.
(6) General - All decisions of the Sponsor in any matter relating to this Promotion shall be binding and final. Sponsor is not responsible for technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware, software, or web site. Sponsor is not responsible for lost, interrupted or unavailable network server or other connections, miscommunications, failed telephone or computer or telephone transmissions or technical failure, jumbled, scrambled or misdirected transmissions, for incorrect or inaccurate entry information, howsoever caused, or other error of any kind whether human, mechanical or electronic. Entrants found tampering with or abusing any, aspect of this Promotion, as solely determined by the judges, will be disqualified. If disqualified for any of the above abuses, Sponsor reserves the right to terminate entrant's eligibility to participate in the Promotion. Any attempt by any person to deliberately undermine the legitimate operation of the Promotion may be in violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Sponsor reserves the right to terminate, cancel, suspend and/or modify the Promotion if any fraud, virus or other technical problem corrupts the administration, security, or proper play of the Promotion, as determined by Sponsor in its sole discretion. In such event, Sponsor reserves the right to award the prizes at random from among the eligible entries received up to the time of the impairment.
(7) Disputes - This Promotion is governed by the laws of the United States and the State of Ohio, without respect to conflict of law doctrines. As a condition of participating in this Promotion, participants agree that any and all disputes with Sponsor which cannot be resolved and causes of action against Sponsor arising out of or in connection with this Promotion, shall be resolved individually, without resort to any form of class action, exclusively before a court located in Ohio having jurisdiction. Further, in any such dispute, under no circumstances will participants be permitted to obtain awards for, and hereby waive all rights to claim punitive, incidental or consequential damages, including attorneys' fees, other than participant's actual out-of-pocket expenses (e.g. costs associated with entering), and participant further waives all rights to have damages multiplied or increased.
